JOB OVERVIEWThe Contract Specialist will support the Legal Department and General Counsel in the drafting, review, negotiation, administration, and lifecycle management of commercial and operational contracts. This role requires strong contract management skills, attention to detail, and the ability to work cross-functionally with sales, supply chain, regulatory, quality, finance, and clinical stakeholders. The ideal candidate will have experience supporting legal operations in a life sciences, healthcare, or medical device environment and be comfortable working with customer-facing, vendor, and compliance-sensitive agreements.
JOBRESPONSIBILITIES AND DUTIES Contract Drafting & Review
- Draft, review, and revise a broad range of agreements using approved templates and playbooks, including:
- Capital equipment purchase and pricing agreements
- Distributor and reseller agreements
- Service, maintenance, and support agreements
- Vendor, supplier, and manufacturing agreements
- Non-disclosure agreements (NDAs)
- Consulting, advisory, and independent contractor agreements
- Evaluation, demo, and clinical use agreements
- Ensure contracts comply with company policies, risk tolerances, and regulatory requirements.
- Support negotiations by redlining agreements, summarizing legal and business risks, and escalating non-standard terms to the General Counsel.
- Coordinate internal review with cross-functional teams (Sales, Finance, Quality, Regulatory, Operations).
- Track deviations from standard terms and assist in updating contract templates and playbooks.
- Manage the contract intake, approval, execution, and archiving process.
- Maintain the company’s contract management system or contract repository.
- Track key contract terms, obligations, renewal dates, termination rights, pricing, and compliance milestones.
- Support contract audits and internal compliance reviews.
- Assist the General Counsel with legal operations, process improvement, and document standardization.
- Support healthcare compliance initiatives related to physician consulting, clinical evaluations, and government-regulated customers.
- Assist with responses to customer legal questionnaires and contract compliance certifications.
- Serve as a primary point of contact for contract-related questions from internal stakeholders.
- Provide training or guidance to business teams on contract processes and standard terms.
- Support special legal projects as assigned by the General Counsel.
- Contract Cycle Time: NDAs: ≤ 2 business days (95% of requests);
Standard customer / vendor agreements: ≤ 5 business days (90% of requests);
Non-standard or heavily negotiated agreements: ≤ 10–15 business days, excluding counter party delay - Accuracy and Quality of Contracts: ≤ 2% of executed contracts requiring post-execution correction or amendment due to drafting error; 0 material errors affecting pricing, liability, indemnification, term, or regulatory compliance; 100% inclusion of required legal, compliance, and quality provisions
- Contract Volume and Throughput:
Support 20–30 active contracts per month, depending on complexity;
Maintain quality and cycle-time targets during peak sales periods;
No more than 5% backlog exceeding target review timelines - Compliance and
Risk Management:
100% compliance with contract approval workflows and authority matrices; 0 unauthorized contract executions; 100% timely escalation of high-risk terms. - Contract Lifecycle Management: 100% of executed contracts uploaded to contract management system within 5 business days; 100% accurate capture of key terms.
- Bachelor’s degree required; paralegal certificate or equivalent legal training preferred.
- 3–7 years of experience in contract administration, contract management, or legal operations.
- Experience working in a medical device, life sciences, healthcare, or other regulated industry strongly preferred.
- Strong contract drafting and redlining skills.
