Senior Corporate Counsel

A fast-growing, PE-backed national platform in the procurement and group purchasing space is seeking a Senior Corporate Counsel to report directly to the General Counsel.

This is a highly visible, business-facing role offering broad exposure across the organization. The environment is collaborative, strategic, and commercially driven. The Senior Corporate Counsel will serve as a key advisor across the business, providing strategic legal guidance, transactional support, and compliance oversight in a regulated environment.

• Independently draft, review, and negotiate complex commercial agreements, including supplier contracts, membership agreements, pricing structures, IP and licensing arrangements, consulting agreements, and procurement/supply chain contracts
• Develop and refine contract templates
• Advise on contract interpretation and related operational impact

• Act as a trusted advisor to senior leadership and internal stakeholders
• Support M&A and transaction activity (LOIs, IOIs, and diligence strongly preferred but not required)
• Liaise with outside counsel as needed
• Partner with private equity sponsors, supplier partners, enterprise clients, and government entities

• 5+ years of legal experience, ideally at a large law firm; additional in-house experience a plus
• Proven ability to manage a high volume of complex legal projects and competing priorities
• Understanding of group purchasing operations preferred
• Exceptional communication and interpersonal skills; ability to work collaboratively with senior management and external parties
• Highly developed analytical and problem‑solving skills; self‑starter with sound judgment under pressure
