Riggs Davie PLC | Brentwood, Tennessee – Riggs Davie PLC is seeking an experienced Corporate Paralegal to join our collegial and high‑performing Corporate & Business Law team in Brentwood, Tennessee. Our firm combines sophisticated legal work with a friendly, collaborative culture, serving a diverse client base, including private equity and venture capital fund sponsors, emerging technology companies, and business owners.
About the RoleWe are looking for a highly organized, detail-oriented professional who enjoys managing complex business matters and ensuring critical details are managed. This role supports our attorneys and clients through all stages of business entity formation, corporate maintenance, and corporate transactions, emphasizing precision, responsiveness, and efficiency.
Key Responsibilities- Manage and maintain corporate record-keeping for clients, including minute books, stock ledgers, and organizational documents.
- Oversee and coordinate all aspects of entity formation, dissolution, and foreign qualifications across various jurisdictions.
- Draft and review corporate documents, such as board and shareholder resolutions, consents, and basic corporate agreements.
- Assist in corporate transactions (e.g., mergers & acquisitions, financings) by managing due diligence, preparing closing binders, and handling post-closing matters.
- Maintain detailed project management systems and client files to track progress, tasks, and priorities.
- Communicate effectively with clients, advisors, and team members to ensure smooth processes and excellent client service.
- Support attorneys in organizing client meetings, maintaining tickler systems, and preparing necessary materials.
- 3–5 years of relevant paralegal experience in corporate law, business transactions, or a related field.
- Strong understanding of corporate governance, entity maintenance, and basic contract principles.
- Exceptional organizational skills and a proven ability to manage multiple concurrent matters.
- Experience working with project management software or task tracking tools.
- Excellent attention to detail, follow-through, and written communication.
- Ability to thrive in a fast-paced, team-oriented environment.
- Proficiency with Microsoft Office and general office technology.
Competitive compensation and benefits commensurate with experience. Salary range of $60,000–$90,000 annually for this position, depending on experience and qualifications.
