Job DetailsThe Associate will work on sophisticated employee benefits and executive compensation matters, with a strong focus on corporate transactions and mergers & acquisitions involving private equity sponsors and portfolio companies.
Key Responsibilities- Advise clients on executive compensation arrangements in connection with mergers, acquisitions, and other corporate transactions.
- Review and analyze qualified retirement plans and welfare benefit plans.
- Conduct due diligence and draft benefits‑related provisions for transactional documents.
- Assist private equity clients and corporate clients with benefits compliance and structuring matters.
- Draft, review, and negotiate compensation and benefits‑related agreements.
- 2–5 years of strong employee benefits and executive compensation experience.
- Experience supporting corporate transactions, particularly involving private equity, is highly preferred.
- Familiarity with executive compensation arrangements, qualified retirement plans, and welfare benefit plans.
- Strong academic credentials.
- Excellent drafting and writing skills.
- Exceptional attention to detail.
- Demonstrated ability to manage deadlines in a fast‑paced environment.
- Immediately transferable skills.
- Active member of the Bar in the state in which you will reside, or ability to waive in.
- Must reside in or relocate to one of the listed metro areas at or prior to hire.
- Minimum of 2+ years of transferable experience.
