Job Details

The Associate will work on sophisticated employee benefits and executive compensation matters, with a strong focus on corporate transactions and mergers & acquisitions involving private equity sponsors and portfolio companies.

Key Responsibilities
  • Advise clients on executive compensation arrangements in connection with mergers, acquisitions, and other corporate transactions.
  • Review and analyze qualified retirement plans and welfare benefit plans.
  • Conduct due diligence and draft benefits‑related provisions for transactional documents.
  • Assist private equity clients and corporate clients with benefits compliance and structuring matters.
  • Draft, review, and negotiate compensation and benefits‑related agreements.
Qualifications
  • 2–5 years of strong employee benefits and executive compensation experience.
  • Experience supporting corporate transactions, particularly involving private equity, is highly preferred.
  • Familiarity with executive compensation arrangements, qualified retirement plans, and welfare benefit plans.
  • Strong academic credentials.
  • Excellent drafting and writing skills.
  • Exceptional attention to detail.
  • Demonstrated ability to manage deadlines in a fast‑paced environment.
  • Immediately transferable skills.
Requirements
  • Active member of the Bar in the state in which you will reside, or ability to waive in.
  • Must reside in or relocate to one of the listed metro areas at or prior to hire.
  • Minimum of 2+ years of transferable experience.
