Role Overview
The Credit Administration – Legal role is responsible for managing, reviewing, and administering legal documentation related to credit facilities and security structures. The incumbent will ensure that all legal documents are complete, enforceable, compliant with approved credit terms, and aligned with regulatory and internal policy requirements. The role involves close coordination with internal stakeholders and external legal counsel.
Key ResponsibilitiesCredit & Security Documentation
Review and vet facility letters, agreements, and security documents prepared by internal officers and external lawyers (for non-standard documentation) to ensure completeness, validity, and enforce ability.
Review executed legal documents submitted by borrowers to confirm proper execution and identify any irregularities or deviations from approved credit terms, ensuring timely rectification or escalation.
External Legal Counsel Management
Engage, instruct, and liaise with external lawyers on matters including:
Non-standard facility and security documentation
Mortgages, debentures, assignments, shipbuilding contracts, and refund guarantees
Redemption, release, and discharge of securities
Legal opinions and registration of security documents
Non-Standard Credit & Drawdown Support
Facilitate execution and closure of legal documentation for non-standard credit facilities.
Ensure all conditions precedent, legal covenants, and documentation requirements are satisfied prior to drawdown.
Trade Finance & Guarantees
Review and vet Standby Letters of Credit (SBLCs), Bank Guarantees (BGs), Performance Bonds, and Letters of Guarantee—whether issued by or received by the Branch.
Provide recommendations for amendments and highlight legal risks or concerns for management’s review and approval.
Legal Monitoring & Reporting
Download, review, and distribute weekly Credit Monitoring System reports to Credit Marketing and General Manager, particularly relating to legal actions involving borrowers and guarantors.
Litigation & Insolvency Matters
Receive and review legal documents including:
Court orders
Winding-up notices
Injunctions
Garnishee orders
Notices from liquidators, official assignees, or receivers
Disseminate relevant information to appropriate departments and coordinate follow-up actions where required.
Legal Advisory & Documentation
Provide legal interpretation and advisory support to management on applicable laws, regulations, and compliance matters.
Review contracts, service agreements, and other legal documentation.
Draft legal correspondence including demand letters and letters of set-off.
Assist in reviewing cases under litigation or liquidation.
Degree in Law or equivalent legal qualification.
Minimum 5–8 years of relevant experience in credit administration, legal documentation, or banking legal support.
Strong knowledge of banking facilities, security documentation, guarantees, and regulatory requirements.
Experience working with external legal counsel and managing complex legal documentation.
Strong attention to detail, risk awareness, and ability to work independently.
Excellent communication and stakeholder management skills.
