On October 14, 2025, Johnson & Johnson announced plans to separate our Orthopaedics business to establish a standalone orthopaedics company, operating as DePuy Synthes. The planned separation is anticipated to be completed within 18 to 24 months, subject to legal requirements including consultation with works councils and other employee representative bodies, as may be required, regulatory approvals and other customary conditions and approvals.

It is anticipated following conclusion of the transaction, you would be an employee of DePuy Synthes, and your employment would be governed by Orthopaedics employment processes, programs, policies, and benefit plans. Details of any planned changes would be provided to you by Orthopaedics at an appropriate time and subject to any necessary consultation processes.

The Clinical Training Manager will be responsible for the successful execution of hands‑on training and education of the VELYS Robotic‑Assisted Solution with Healthcare Professionals and the Field Sales Organization. The Clinical Training Manager will be a subject matter expert on the VELYS Robotic‑Assisted Solution and will conduct training for physicians, hospital staff, and the field sales organization. Additionally, the Clinical Training Manager will need deep procedural knowledge of Knee Arthroplasty, the ATTUNE platform and other total joint procedures as required.

By facilitating the training protocol and ensuring adherence to quality and regulatory standards, this team member will be responsible for ensuring successful training completion for our users, leading to the successful adoption of the VELYS Digital Surgery technology. The Clinical Training Manager will partner with marketing, R&D and medical teams to improve and elevate hands‑on training protocols and facilitation guides.
