Job Description:
We are seeking a highly skilled and experienced Banking and Finance Attorney with a minimum of ten years of experience representing both borrowers and lenders in sophisticated commercial lending transactions. The ideal candidate will have a strong track record in negotiating, structuring, and documenting both secured and unsecured financing transactions. This includes expertise in:
- Asset-based financings
- Senior, mezzanine, and subordinated debt transactions
- Cross-border financings
- Commercial mortgage transactions
- Opinion letters
- Represent borrowers and lenders in complex commercial lending transactions.
- Negotiate, structure, and document a wide range of financing deals.
- Provide legal counsel on secured and unsecured financing transactions.
- Draft and review transaction documents, including credit agreements, security agreements, and intercreditor agreements.
- Collaborate with a team of attorneys to develop new client relationships and expand business development efforts.
- Advise clients on regulatory compliance and risk management related to financing transactions.
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in New York.
- Minimum of ten years of experience in banking and finance law.
- Extensive experience representing borrowers and lenders in commercial lending transactions.
- Strong knowledge of secured and unsecured financing, including asset-based lending and commercial mortgages.
- Excellent negotiation and drafting skills.
- Ability to work independently and as part of a collaborative team.
