Riveron’s clients are navigating increasingly complex accounting, financial reporting and regulatory requirements, often while managing significant transactions, rapid growth and transformation. Our Capital Markets Services practice works alongside management teams to help them prepare for and execute these critical events.

This Director role sits within Capital Markets Services and is functionally aligned with our Accounting Advisory service line. The role is focused primarily on IPOs, de-SPAC transactions and other capital markets transactions, while also supporting transactions and business events involving significant accounting and financial reporting complexity.

Our work spans the full transaction lifecycle, from initial readiness and transaction planning through registration and execution, as well as the transition to operating as a public company. We work closely with management teams, boards, bankers, legal counsel and auditors across accounting, financial reporting, FP&A, tax, internal controls, governance, risk and technology.

Because Riveron does not provide audit, review or compilation services, our teams can work directly alongside management and take a hands on role in getting the work done. Directors are expected to bring strong technical judgment, practical execution experience and the ability to lead clients and teams through complex and often fast moving situations.

Who You Are
  • Bachelor’s or Master’s degree in Accounting or a related field
  • 10 or more years of relevant experience combining public accounting, accounting advisory, transaction advisory or similar consulting experience
  • CPA strongly preferred
  • Significant client facing experience leading complex engagements and working directly with CFOs, Controllers, CAOs, other senior executives and PE sponsors
  • Strong technical accounting foundation with advanced knowledge of US GAAP and experience with SEC and PCAOB requirements, including Regulation S-X and Article 11 pro forma financial information; IFRS experience is a plus
  • Experience with SEC reporting and registration statements, including S-1, S-4, 10-K and 10-Q filings, as well as SEC pre-clearance submissions and comment letter responses
  • Experience with M&A transactions and/or carve-out transactions
  • Meaningful experience with IPOs, de-SPAC transactions, other capital markets transactions or other complex transactions and reporting events
  • Ability to own and lead an engagement from initial assessment and scoping through execution and completion
  • Strong understanding of what is required to become and operate as a public company, including the interdependencies across accounting, financial reporting, FP&A, internal controls and technology
  • Ability to take a complex or ambiguous client problem, determine what needs to be done and develop a practical path forward
  • Comfortable explaining complex accounting and reporting matters in clear, practical terms to senior executives and other stakeholders
  • Strong project leadership skills with the ability to manage multiple work streams, stakeholders and deadlines
  • Demonstrated ability to develop teams and coach individuals at different levels
  • Strong relationship building and commercial instincts, with an established network across the capital markets ecosystem, including exchanges such as Nasdaq and NYSE, law firms, investment banks, financial printers and other transaction advisors and service providers, and the ability to leverage those relationships to develop new opportunities and expand client relationships
  • Comfortable being hands on when needed and operating in a dynamic environment with a high degree of ownership
  • Contribute to the broader firm through recruiting, training, thought leadership, community involvement and other firm initiatives, as well as Capital Markets Services practice and lead practice building activities
  • An audit only background without meaningful advisory, transaction or client leadership experience is not a fit for this role
