The PositionSeeking a top performing mid‑senior level attorney for private credit, debt and equity finance, and other corporate transactional work. Extensive transactional experience with middle‑market private debt and equity transactions (with a focus on lender or sponsor representation) is strongly preferred. Candidate must have excellent drafting, negotiation, issue spotting, and analytical skills.
Desired Skills and ExperienceThe ideal candidate will have a JD degree from a top accredited U.S. law school with strong academic credentials and a minimum of 5 years of relevant experience at a top‑tier law firm or in‑house legal department:
- Structuring, negotiating and executing a broad array of financing and buyout transactions, including middle‑market sponsor‑led acquisition financings (loans and equity);
- Leading and advising deal teams through all phases of the transaction lifecycle, including origination, documentation, negotiation, closings, amendments, restructurings and exits;
- Drafting, reviewing and negotiating early‑stage loan and equity documentation, including term sheets, commitment letters, IOIs and LOIs.
- Drafting, reviewing and negotiating complex loan and security documentation, such as credit agreements, security documents, intercreditor and subordination agreements, guaranties, and other transactional documents;
- Advising on multi‑lender loan syndications, liability management transactions (LMEs), unitranche/FOLO structures, and other syndicated loan market terms;
- Leading and advising deal teams on corporate governance and corporate transactional matters relating to Prospect’s controlled portfolio companies and other portfolio investments, including buyouts, mergers & acquisitions, asset dispositions, workouts, and restructurings;
- Managing multiple transactional matters simultaneously in a fast‑paced environment;
- Coordinate and supervise outside counsel, including management of legal costs; and
- Special projects

The anticipated base salary range for this position is $250,000 - $300,000 plus an annual discretionary performance‑based bonus. Actual pay may be adjusted based on experience and performance.
