Location: New York

Our client is an established global top-tier alternative asset management fund with top credit and real estate strategies. They are one of the top asset management platforms in the world. The firm is well‑known globally and invests in assets across multiple strategies. The Deputy General Counsel, the attorney or legal counsel would contribute to and/or be responsible for the following areas, and will have proximity to the leadership team:

Responsibilities

The primary role of the Deputy General Counsel, Real Estate Credit will be to advise firm leadership and other key stakeholders on legal issues relating to real estate investment activity and other legal considerations in the US and abroad, including:

  • Overseeing all legal aspects of operating real‑estate lending business, including loan originations, senior bridge lending, mezzanine loans, ABL, preferred and common capital markets, asset management, corporate governance, and regulatory compliance;
  • Head legal structuring and transaction management of new loan originations, as well as workouts and restructurings of legacy positions while working closely with originations, credit, debt capital markets and asset management teams;
  • Negotiate loan documents with various borrowers, lenders, and other partners, including Loan Agreements, Joint Venture Agreements, Management Agreements, Loan Guaranties, Mortgages, and ancillary documentation;
  • Managing transaction management process from term sheet through realization, for loan originations and all capital markets transactions;
  • Help manage repo/warehouse and other credit facilities;
  • Facilitating the formation of new financial instruments and structures, overseeing transaction negotiations and documentation, legal asset management, cost management strategies, and support fundraising efforts.
  • Be the go‑to transactional and debt counsel for the C‑Suite, including the CEO, CIO, etc.
Qualifications
  • JD and an outstanding record of achievement from a top‑tier law school
  • Member of the NY Bar
  • 8‑15 YOE at a Real Estate Finance practice in Big Law and experience in‑house at a Blue Chip Credit Lender.
  • Gravitas, maturity and strong interpersonal skills
  • Strong analytical and risk assessment skills
  • Sense of urgency; ability to meet deadlines and communicate with stakeholders
  • Strong communication, confidence, and ability to talk with external and internal stakeholders who are not legal professionals
  • Adaptability and willingness to grow, learn, and an insatiable sense of intellectual curiosity
  • Strong business acumen

Compensation is going above market, all‑in. There will be a potential for LTI.
