Equity Capital Markets – Vice PresidentJob Responsibilities
- Lead origination and execution of equity and equity‑linked transactions end‑to‑end, including initial public offerings (IPOs), follow‑on offerings, At‑the‑Market (ATM) programs, equity private placements (EPPs) and convertible securities, from pitch through pricing, allocation and aftermarket support.
- Develop and implement transaction structures, pricing strategies, allocation approaches and capital‑raising plans aligned with client objectives.
- Assess market conditions, valuation and investor demand to determine optimal transaction timing and sizing.
- Develop investor marketing strategies, including roadshow plans, targeting frameworks and engagement approaches.
- Track and analyze transaction performance, market windows and competitor activity to refine origination strategies.
- Resolve complex structuring, regulatory and execution issues that arise during transaction life cycles.
- Ensure compliance with Securities and Exchange Commission (SEC), FINRA and applicable cross‑border regulatory requirements, and implement risk management practices across market, execution and reputational dimensions.
- Expertise in originating, structuring and executing equity and equity‑linked transactions across sectors, including pricing analysis, book‑building, allocation strategy and aftermarket performance assessment.
- Demonstrated ability to advise corporate clients on capital structure, equity issuance alternatives and market timing.
- Advanced knowledge of valuation techniques and their application to complex transaction structures.
- Comprehensive understanding of investor dynamics across long‑only, hedge fund and retail channels, including equity‑linked instruments such as convertible bonds, mandatory convertibles and equity derivatives as well as private equity investors.
- Proven ability to manage transaction risk, including market, execution and reputational considerations.
- Thorough understanding of SEC rules, FINRA regulations and global equity offering frameworks.

- 3‑5 years’ experience in equity capital markets (ECM) origination and execution.
- Bachelor’s degree required.
- MBA, CFA or equivalent professional qualification preferred.
- FINRA Securities Industry Essentials (SIE) Examination, Series 63 & 79.
