Role OverviewWe are looking for a commercial and ambitious Underwriter for the Transactional Risk division. In this role you will shape our underwriting framework, expand broker relationships, evaluate risk, manage submissions, and support profitable portfolio growth. You will specialize in Representations and Warranties Insurance (RWI) and negotiate bespoke RWI policies in connection with mergers and acquisitions.
Responsibilities- Quote development: evaluate submissions for active private M&A transactions and prepare customized term sheets outlining proposed pricing and underwriting considerations.
- Ensure timely delivery of quotes to brokers in accordance with deal timelines.
- Policy negotiation & execution: lead the underwriting process, collaborate with buyer’s counsel and advisors to review due diligence materials, negotiate terms, and produce tailored exclusions where needed.
- Due diligence review: analyze target company materials including reports and agreements to assess risk and inform policy terms.
- Team collaboration: supervise and mentor junior underwriters and analysts, providing guidance and feedback.
- Legal liaison: coordinate with DUAL’s deal counsel to review findings and incorporate feedback into underwriting decisions.
- Relationship management: cultivate and maintain strong relationships with key brokers through communication, networking, and event participation.
- Bachelor’s degree in risk management, finance, business, law, or a related field.
- 4‑8 years of M&A or relevant underwriting experience in private equity, investment banking, financial advisory, or insurance.
- Background in legal practice (M&A or corporate law), private equity, banking, or insurance roles with transaction exposure.
- Professional certifications such as CPCU or AU are preferred.
- In‑depth understanding of underwriting principles and risk assessment.
- Strong analytical, negotiation, and decision‑making skills.
- Proven ability to manage and build broker and client relationships.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint).
