Investment Banking Finance Attorney

Our client, a global investment bank, is seeking an experienced attorney to join its Legal Department with a focus on Debt Finance and Investment Banking transactions. The attorney will provide legal advice and transactional support across a broad range of financing activities, partnering closely with investment bankers, business leaders, clients, and external counsel.

Key Responsibilities

• Provide legal advice and transactional support to Oppenheimer’s Investment Banking business on a broad range of domestic and international debt finance transactions
• Represent and advise the Firm, lenders, borrowers, sponsors, and other transaction participants in leveraged finance, syndicated lending, acquisition finance, secured and unsecured lending, and other commercial financing transactions
• Structure, negotiate, document, and execute complex financing transactions, including both syndicated and bilateral facilities
• Draft, review, and negotiate credit agreements, commitment letters, fee letters, security agreements, intercreditor agreements, participation agreements, reimbursement agreements, receivables purchase agreements, and related ancillary documentation
• Partner with investment bankers and other business professionals throughout the transaction lifecycle, from initial structuring and term sheet development through negotiation, closing, and post-closing matters

Requirement

• 2–6 years of relevant legal experience, preferably with a leading law firm or financial institution, with a substantial focus on debt finance and lending transaction
• Strong experience representing banks, institutional lenders, borrowers, sponsors, or other financial institutions in sophisticated financing transaction
• Demonstrated experience with leveraged finance, syndicated lending, sponsor finance, acquisition finance, or other complex commercial lending transactions
