About the Opportunity

Head of Investor Capital and Relations – New York

This senior, high‑visibility role combines capital raising and investor relations. The successful candidate will own institutional capital relationships that support Xsolla’s strategic vehicles, leading the capital formation and investor relations agenda. The position reports to the Senior Vice President of Global Strategic Initiatives and Partnerships and requires significant global travel.

Role Overview

The Head of Investor Capital and Relations will oversee capital engagement from sourcing investors to structuring and executing capital raises, and managing post‑commitment relationships.

  • Lead capital raises across equity, structured, and credit instruments.
  • Own and develop the investor pipeline from sourcing to close.
  • Build fundraising materials: equity story, presentations, data rooms.
  • Structure terms and commitments in coordination with deal leadership.
  • Maintain market insight on conditions, appetite, and comparable transactions.
  • Origin, map, and engage sovereign wealth funds, strategic corporates, family offices, and large institutional allocators, especially in the Gulf, Asia, and North America.
  • Coordinate coverage strategy with banking partners and advisors.
  • Establish and run the investor relations function for Xsolla’s public listings, including the SPAC.
  • Manage public‑market investor relationships, analysts, and shareholder inquiries.
  • Lead investor communications around capital events and business combinations.
  • Develop consistent messaging linking strategy, metrics, and results.
  • Partner with legal to uphold disclosure obligations.
  • Advise leadership on capital structure and funding strategy.
  • Support strategic transactions by shaping syndicate, terms, and positioning.
  • Direct banks, advisors, and counsel through diligence and execution.
  • Translate market developments into recommendations for leadership and the board.
  • Establish a disciplined disclosure framework: calendars, policies, approval workflows.
  • Prepare board and investor materials and contribute to market narrative.
  • Ensure all communications are accurate, consistent, and compliant.
  • Recruit, mentor, and lead the IR and capital markets team over time.
  • Partner across finance, legal, strategy, communications, and founders to deliver a unified message.
  • Represent Xsolla at investor meetings, industry forums, and capital markets events worldwide.
Candidate Profile Experience
  • 12–15 years of progressive experience in investment banking, private equity, sovereign wealth, capital markets, or senior investor relations.
  • Track record of raising or deploying institutional capital and closing complex transactions.
  • Direct experience engaging sovereign wealth funds, strategic investors, or large institutional allocators at the senior level.
  • Public‑company investor relations or business‑combination experience strongly preferred.
Domain Expertise
  • Deep fluency in capital structure, private placements, equity and credit instruments, and transaction processes.
  • Strong knowledge of public‑market disclosure, fair‑disclosure principles, and listing obligations.
  • Familiarity with gaming, technology, fintech, or high‑growth sectors; comfort operating across Gulf, Asia, and North America.
Skills and Competencies
  • Exceptional financial acumen and analytical ability for capital raise analysis.
  • Outstanding written and verbal communication; ability to craft persuasive investment narratives.
  • Relationship capital and the gravitas to engage principals, investment committees, and senior executives.
  • Sound judgment, discretion, and highest integrity with material information.
  • Drive and resourcefulness to build a function from the ground up in a fast‑moving environment.
