Corporate Attorney – Securities & M&A

Location:

New York City (In-Office)

We are seeking a Corporate Attorney with a minimum of 3+ years of experience to join our New York City office. This role will support a sophisticated corporate practice with a focus on securities, corporate governance, mergers and acquisitions, and general transactional matters. The ideal candidate will bring a strong foundation in corporate law and have experience advising clients on complex transactions and ongoing compliance obligations.

• Advise public and private company clients on a wide range of corporate and transactional matters
• Draft, review, and manage SEC filings, including periodic reports and related disclosures
• Counsel clients on securities law compliance, corporate governance, and ongoing reporting obligations
• Support mergers and acquisitions, strategic investments, joint ventures, and other corporate transactions
• Conduct due diligence, draft and negotiate transaction documents, and assist with deal execution
• Collaborate closely with partners and other attorneys on complex, multi-faceted corporate matters

• 3+ years of corporate law experience at a law firm (middle-market experience preferred)
• Experience in corporate M&A transactions and general corporate matters
• Securities law experience, including drafting and managing SEC filings and advising on reporting obligations, strongly preferred
• Candidates with 5+ years of corporate securities experience are highly encouraged to apply
• Strong drafting, analytical, and communication skills
• Ability to manage multiple matters in a fast-paced, team-oriented environment
