The In‑House Real Estate Counsel will manage day‑to‑day transactional real estate matters and provide strategic legal guidance to internal stakeholders. The role requires sound legal judgment, strong drafting and negotiation skills, and the ability to operate effectively in a fast‑paced environment.
Primary responsibilities include drafting, reviewing, and negotiating commercial and residential leases; vendor, contractor, subcontractor, and architectural agreements; and other contracts relating to property operations and development. The position will also oversee and manage real‑estate‑related litigation matters as they arise. In addition, the role will support cross‑departmental transactional matters, including vendor agreements, NDAs, guaranties, investment agreements, and other commercial contracts across the Company’s various business units.
Key Responsibilities- Lead transactional legal matters for the real estate department, including drafting, reviewing, and negotiating leases and related agreements.
- Draft and negotiate vendor, contractor, subcontractor, architectural, and development agreements.
- Prepare and review NDAs, term sheets, guaranties, and other commercial contracts.
- Provide legal support for acquisitions, developments, and operational matters.
- Manage and oversee real‑estate‑related litigation matters.
- Collaborate closely with internal teams, including the real‑estate development and management departments, as well as the operations of the supermarkets.
- Participate in deal strategy discussions and provide practical legal risk assessments.
- Conduct legal research and provide clear, business‑focused guidance to senior leadership.
- Perform additional legal and business affairs responsibilities as assigned by senior legal executives.
- Minimum of five (5) years of experience in a law firm and/or in‑house legal department.
- Substantial experience handling commercial leases and real estate transactional matters.
- Experience with litigation management and contract drafting/negotiation.
- J.D. from an accredited law school and active membership in the New York State Bar.
- Strong written and verbal communication skills.
