Corporate M&A Associate

Baker Botts is seeking a Corporate M&A Associate with 4–7 years of experience to join our Corporate Department in Austin, Dallas, or Houston. The ideal candidate will have meaningful experience representing both public and private companies in mergers and acquisitions, joint ventures, and other complex business transactions.

Responsibilities
  • Lead and manage M&A transactions from structuring through closing, including drafting and negotiating principal transaction documents.
  • Supervise and mentor junior associates and coordinate across practice areas to ensure efficient execution of transactions.
  • Advise clients on day‑to‑day corporate governance and general corporate matters.
  • Work closely with partners and clients to deliver practical, business‑focused legal advice.
Qualifications
  • J.D. from an accredited law school with excellent academic credentials.
  • 4–7 years of corporate transactional experience, with a strong emphasis on public and private M&A.
  • Proven ability to run work streams and lead/supervise junior team members.
  • Strong drafting, negotiation, and communication skills.
  • Admission to practice in Texas (or eligibility to waive).

Candidates should have 2–7 years of experience, ideally in a large law firm, advising on equity plans, executive employment agreements, and compensation and benefits matters arising in M&A, carve‑outs, IPOs, and other transactions. Strong academics and an interest in a collaborative, national practice are required.

Responsibilities
  • Provide counsel on equity plans, executive employment agreements, and related compensation matters in the context of corporate transactions.
  • Assist in structuring and negotiating complex executive compensation plans.
  • Collaborate with Corporate and Tax groups on cross‑border transactions.
  • Offer mentorship and participate in practice‑development initiatives.
