Job Description: The position of Business Attorney will provide general legal counsel for family and company businesses. The subject of legal counsel will focus on commercial transactions, commercial litigation, commercial real estate, asset protection, tax compliance, and estate planning. This position will be offered the opportunity to establish their legal practice at the business corporate office located in Avon, NY.

Key Duties & Job Responsibilities

· General corporate counsel for a portfolio of family owned and operated businesses.

· Drafting and negotiating commercial contracts and operating agreements.

· Oversee private merger and acquisition transactions to include structuring and negotiation.

· Provide counsel to company ownership on financial transactions and agreements.

· Provide counsel to company ownership on asset management and estate planning.

· Maintain a strong client relationship by providing proactive communication and strategic advice.

· Work closely with the company’s accounting department to ensure financial legal compliance.

· Conduct legal research and draft high-quality commercial litigation documents.

· Develop and execute case strategies tailored to client needs and objectives.

Qualifications

· Juris Doctor (JD) degree from an accredited law school.

· License to practice law in New York State.

· 10+ years of experience in providing commercial business legal counsel.

· Exceptionally strong writing and verbal communication.

· A demonstrated ability to work well within a family owned and operated structure; must be able to manage competing priorities.

· A commitment to client service with the ability to meet deadlines while managing several projects at one time.

· A professional and ethical approach to legal counsel.

· A track record of corporate legal success as it relates to managing a diverse client portfolio, maintaining client legal compliance, and a positive impact on the company’s balance sheet.

· This is an in-person position with the company’s corporate office located in Avon, NY. The individual in this role is eligible to establish their legal practice at the corporate office location with the opportunity to undertake additional legal cases / counsel.

· This position requires timely response and counsel to ownership.

· Salary range - $100,000 - $160,000, Commensurate with experience.

· Eligible for annual discretionary bonus based upon personal and company performance.
