Top mid-size New York based law firm is seeking a Corporate Securities Attorney for the New York City office. Candidates should have at least 5 years of experience supporting a sophisticated corporate practice including securities, governance, and other transactional matters. This is an in office position. This is a great opportunity to join a great firm with the ability to work on complex matters and have the ability for growth.
The firm offers an excellent benefits and compensation package. Compensation for this role is $180,000 - $220,000.
Key Responsibilities
• Advise public and private companies on Securities Act and Exchange Act compliance and related reporting obligations
• Draft and review SEC filings, including periodic reports and current reports, proxy statements, registration statements and Section 16 filings
• Counsel on corporate governance matters, board and committee processes, and disclosure controls and procedures
• Support capital markets transactions, including public offerings and private placements, and related due diligence
• Assist with M&A and other strategic transactions involving securities and disclosure considerations
• Coordinate with internal stakeholders and external service providers (e.g., auditors, underwriters, transfer agents) as needed
• Monitor regulatory developments and provide practical guidance to clients and internal teams
Qualifications
• 5+ years of experience in corporate securities (law firm and/or in-house)
• Strong experience drafting and managing SEC filings and advising on ongoing reporting obligations
• Solid understanding of corporate governance frameworks and public company compliance
• Ability to manage multiple matters independently and collaborate effectively across teams
• Excellent drafting, judgment, and client service skills
• J.D. from an accredited law school
• Admitted to practice in New York and in good standing
