A global Am Law 100 law firm is seeking a Corporate or Venture Fund Paralegal to support its venture capital and emerging companies practice. This is an exciting and progressive opportunity to join a dynamic, collaborative team and work on sophisticated venture capital fund formations and ongoing fund operations. The role is open to junior or senior-level paralegals and offers meaningful responsibility in a hybrid work environment.

• Support venture capital fund formation from inception through closing, including maintaining and tracking fund formation checklists
• Review, process, and respond to investor subscription documents and related inquiries
• Organize and manage entities for general partners, main funds, side funds, and management companies
• Coordinate and distribute closing documents and final closing volumes to investors and internal stakeholders
• Prepare and file federal and state securities law filings, including blue sky filings
• Assist with ongoing fund operations, including transfers of fund interests and preparation of transfer agreements
• Review investor eligibility and compliance requirements for new and transferring investors
• Collaborate closely with attorneys, clients, and internal teams to support efficient fund closings

• Minimum of 1+ years of experience as a Venture Fund or Fund Formation Paralegal, either in-house or at a law firm
• Advanced proficiency in Microsoft Word and Excel Excellent written, verbal, and interpersonal communication skills
• Strong judgment, initiative, flexibility, and attention to detail
• Ability to manage multiple matters in a fast-paced, deadline-driven environment
• Collaborative, team-oriented approach with a strong service mindset

The annualized base salary range for this position is $75,000 – $175,000
, depending on experience, location, and qualifications.
