Associate Attorney - Technology Transactions

Pearl Cohen is seeking a talented and entrepreneurial mid-level associate attorney with 4-7 years of experience to join our tech transactions practice. The ideal candidate will have substantial experience advising technology companies on commercial and IP transactions, with a particular focus on SaaS, software licensing, and data rights. The candidate will be able to handle multiple ongoing matters at once and work closely with clients’ go-to-market, legal, and finance teams.

This is a hybrid role; the candidate will work from our New York office three days a week.

Our clients operate in a wide variety of cutting-edge industries, including AI, cybersecurity, digital health, fintech, and cloud computing.

• Draft, review, and negotiate a broad range of commercial agreements, including SaaS agreements, MSAs, software license agreements, software reseller agreements and other partnership agreements.
• Advise clients regarding their commercial contracting and licensing strategies as well as data privacy and open-source compliance.
• Support corporate transactions by performing M&A, IP, and tech due diligence

• J.D. from an accredited law school.
• Admitted to the NY Bar.
• 4-7 years of relevant experience at a law firm and/or in-house legal department.
• Significant experience negotiating technology and commercial agreements.
• Strong understanding of software licensing and SaaS business models.
• Familiarity with privacy laws, including GDPR and CCPA and experience collaborating with privacy counsel.
• Knowledge of AI, cybersecurity, cloud services, or digital health industries preferred.
• Excellent drafting, analytical, and client counseling skills.
• Ability to manage multiple matters in a fast-paced environment.

Pearl Cohen offers comprehensive health and wellness benefits, a hybrid work schedule, a flexible PTO policy, and business development support. Pay range $180,000-$210,000 based on relevant experience.
