The Governance Manager / Board Liaison plays a crucial role in supporting the Board of Directors and ensuring the smooth operation of board activities while also enhancing MSCI’s overall governance framework. The role provides the unique opportunity to work with senior leaders of MSCI’s leadership team, as well as MSCI’s Board of Directors. This individual will be responsible for organizing and facilitating board meetings, preparing agendas, ensuring that directors have the necessary information to make informed decisions and acting as a key point of contact for board members.
The role requires a deep understanding of corporate governance standards and the ability to maintain the highest levels of confidentiality and professionalism.
- Organize and facilitate board and committee meetings, including scheduling, logistics, agenda preparation and distribution of materials.
- Serve as the key liaison for directors, ensuring timely communication and support.
- Manage the Board calendar and long-range agenda-planning process.
- Prepare and maintain accurate records of Board and committee meetings, including minutes, resolutions, written consents and other essential documents.
- Manage annual D&O questionnaires, Board and committee self-evaluations and director onboarding / education programs.
- Administer EDGAR/Section 16 infrastructure (codes, POAs). While significant work on SEC filings is not required, familiarity with SEC filings and Section 16 filings is a plus.
- Assist with the planning and execution of the annual meeting of shareholders.
- Assist with preparation of annual Proxy Statement.
- Maintain adherence to corporate governance standards and best practices. Support the Board in fulfilling its governance responsibilities.
- Continuously review and improve processes related to Board operations to enhance efficiency and effectiveness.
- Build and document redundancy workflows so board operations are never dependent on single individuals.
- 5+ years of experience in corporate governance, Board operations or a similar role, preferably within a large, global public company.
- Strong organizational, communication and interpersonal skills.
- Ability to work independently and handle confidential information with discretion.
- Keen attention to detail, with the ability to manage multiple priorities in a fast-paced environment.
- Proficient in Microsoft Office Suite and Noard management software (Diligent).
- Familiarity with SEC filings and Section 16 filings, while not required, would be beneficial.
- Deep understanding of corporate governance standards and practices.
- Certified Corporate Governance Professional (CCGP) certification is a plus.
- Familiarity with AI productivity tools, such as ChatGPT, is a plus.
