We are seeking a detail-oriented and highly knowledgeable UCC professional. This individual will be responsible for managing all aspects of Uniform Commercial Code (UCC) filings, ensuring compliance with state regulations. The ideal candidate has extensive experience with UCC filing processes, lien searches, and corporate compliance matters, particularly in Delaware and other key jurisdictions.

Key Responsibilities:

UCC Filings & Compliance
  • Prepare, review, and file UCC-1 financing statements and UCC-3 amendments, continuations, and terminations
  • Conduct UCC lien searches, analyze search results, and prepare summary reports
  • Maintain tracking systems for UCC filings, ensuring timely renewals and updates
  • Research and interpret UCC laws across various states, ensuring filings meet jurisdictional requirements
  • Work closely with internal teams, legal counsel, and external partners to resolve UCC-related issues
  • Act as a point of contact for Delaware corporate filings, including formation documents and amendments
Qualifications &

Experience:
  • Experience in UCC filings, lien searches, and corporate compliance
  • Strong understanding of the Uniform Commercial Code (UCC) Article 9 and lien perfection requirements
  • Experience working with state filing offices, particularly Delaware’s Division of Corporations
  • Knowledge of registered agent services, entity formations, and compliance processes
  • Familiarity with corporate governance and secured transactions
  • Ability to manage multiple tasks with accuracy and efficiency in a fast-paced environment
  • Proficiency in UCC filing platforms and research tools such as CSC, Capitol Services, or similar
  • Excellent organizational, analytical, and communication skills
