We at Coforge are hiring Company Secretary with the following skillset:

Key Responsibilities:

Ensure end-to-end compliance with statutory and regulatory requirements across India and overseas jurisdictions.
Manage SEBI regulations including Prohibition of Insider Trading (PIT), continual disclosures, and related compliances.
Oversee FEMA compliances, cross-border transactions, and reporting obligations.
Manage end-to-end ESOP compliances, documentation, and disclosure requirements.
Ensure adherence to the Companies Act, including board meetings, filings, registers, minutes, and statutory records.
Support Mergers & Acquisitions activities, including due diligence, documentation, and post‑transaction compliance.
Develop, review, and implement Standard Operating Procedures (SOPs) to strengthen regulatory governance.
Handle investor communication and prepare summary reports on compliance checks.
Work closely with the Compliance Head to provide periodic updates across jurisdictions.
Ensure timely follow-ups and drive all compliance activities to closure within stipulated timelines.
Maintain compliance trackers and monitor regulatory obligations across functions.

Qualifications:

Company Secretary (CS) qualification
13–15 years of expertise in corporate governance, regulatory compliance, and stakeholder management across India and international jurisdictions.
The ideal candidate should possess strong knowledge of SEBI regulations—including Prohibition of Insider Trading—FEMA, ESOP administration, Companies Act, and M&A activities.
This role requires strong follow‑up skills, the ability to drive tasks to closure within defined timelines, and the capability to develop robust SOPs and compliance frameworks.
