We are seeking a dynamic General Counsel to serve as a trusted advisor to executive leadership and the Board, driving corporate strategy while safeguarding the organization's legal and regulatory integrity.
This is a high-impact role for a forward-thinking attorney who combines sharp business acumen with deep legal expertise—particularly in intellectual property, patents, and international trade.
The OpportunityAs General Counsel, you will lead the company's legal strategy, oversee complex transactions, and provide proactive counsel on corporate governance, compliance, and growth initiatives. You will play a critical role in shaping corporate policies, structuring business operations, and protecting the company's intellectual property portfolio.
What You’ll Do- Serve as chief legal advisor to senior leadership and the Board of Directors.
- Lead and advise on major business transactions, including mergers, acquisitions, divestitures, joint ventures, and strategic partnerships.
- Provide legal guidance on corporate governance, compliance, and regulatory matters, including SEC and related regulations.
- Direct litigation strategy, evaluate risk exposure, and oversee dispute resolution and settlement decisions.
- Structure, build, and manage the company's internal legal function.
- Select, retain, and manage outside counsel to ensure high-quality, cost-effective legal support.
- Advise on corporate financing, entity structuring, and long-term business strategy.
- Oversee and manage complex intellectual property strategy, including patents, IP licensing, IP due diligence, and enforcement.
- Provide counsel on international trade matters and cross-border legal considerations.
- Foster collaboration across management, sales, production, and marketing to support corporate objectives.
- Promote a culture of innovation while protecting the company's inventions and proprietary assets.
Required Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active admission to the North Carolina Bar.
- Minimum of six (6) years of experience in a law firm environment.
- Experience in corporate governance and working with a Board of Directors.
- Proven experience managing attorneys, supervising support staff, and overseeing outside legal resources.
- Demonstrated experience directing strategy and managing complex intellectual property matters.
- Ten (10) years of litigation experience, ideally beginning at a prominent national law firm before transitioning in‑house.
- Broad intellectual property experience, including patent law, licensing, and IP due diligence.
- Patent experience strongly preferred.
- International trade experience preferred.
- Exposure to securities, antitrust, computer law, and privacy law.
- Delivery of the highest quality legal work and strategic counsel.
- Exceptional internal client service and responsiveness.
- Strong cross‑functional partnership that advances company growth and innovation.
- A proactive legal strategy that protects the organization while enabling business expansion.
