Position OverviewWe are seeking a motivated and detail-oriented Associate Attorney to join our corporate and transactional practice. The ideal candidate will have 3+ years of experience handling business formations, mergers and acquisitions, contract drafting and negotiation, and general corporate counsel matters. This role requires the ability to work independently with clients while collaborating with senior attorneys on complex transactions. It offers significant client contact, meaningful responsibility, and a clear path for professional growth.
Responsibilities- Draft, review, and negotiate transactional and corporate documents, including asset purchase agreements, operating agreements, shareholder agreements, and commercial contracts.
- Provide direct legal counsel to business clients on entity formation, governance, compliance, and day-to-day operational matters.
- Manage client relationships independently, including intake, communication, and matter progression from engagement through closing.
- Conduct thorough legal research and analysis on complex corporate and transactional issues.
- Assist with mergers, acquisitions, and business sales, including due diligence, deal structuring, and closing coordination.
- Collaborate with litigation and other practice group attorneys on cross-functional matters as needed.
- Manage files from inception to resolution, ensuring deadlines and client expectations are met.
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the State Bar of Nebraska (required). Admission in other jurisdictions is a plus.
- 3+ years of relevant experience in corporate, transactional, or business law.
- Demonstrated ability to work independently and manage client matters with minimal supervision.
- Strong legal research, writing, drafting, and analytical skills.
- Excellent communication and interpersonal skills with a client-service orientation.
- Experience with mergers and acquisitions, real estate transactions, or entity governance preferred.
