About the Role
Santriya Technologies seeks an experienced Corporate Governance and Regulatory Advisor to support organisations on governance frameworks, board advisory matters, corporate compliance, risk oversight, and regulatory obligations across the technology, banking, and financial services sectors.
This senior advisory role is ideal for governance professionals, company secretaries, and regulatory counsel with deep experience advising boards and senior leadership.
The role offers flexible consultancy, part‑time, and remote working arrangements.
Key Responsibilities- Advise boards and executive leadership on corporate governance best practices, board structures, committee design, and director responsibilities under the UK Corporate Governance Code.
- Design and implement governance frameworks, policies, board terms of reference, and escalation processes aligned with regulatory requirements.
- Conduct governance gap analyses and present findings with actionable recommendations to audit, risk, and nominations committees.
- Advise on Companies Act 2006 obligations, directors' duties, conflicts of interest, and listed company governance requirements.
- Support organisations through regulatory change, policy updates, and horizon scanning exercises covering FCA, PRA, FRC, and sector‑specific regulators.
- Provide expert guidance on ESG governance frameworks, sustainability reporting obligations, and stakeholder engagement strategies.
- Advise on governance implications of mergers, acquisitions, restructuring, and digital transformation programmes.
- Draft board papers, governance reports, policy documents, and regulatory submissions.
- Support audit and risk committees on internal audit scope, risk appetite, and control environment assessments.
- Develop and deliver governance training programmes for board members and senior leadership teams.
- Act as a trusted advisor to general counsel, company secretaries, and chief compliance officers.
- Senior governance professional with extensive experience in regulated industries.
- Strong knowledge of the UK Corporate Governance Code, Companies Act 2006, and relevant FCA/PRA requirements.
- Proven experience advising boards and senior management at FTSE or regulated organisations.
- CGI (Chartered Governance Institute) qualification or equivalent highly desirable.
