Regulatory Compliance Specialist
Job Title
The Luxembourg real estate Company Secretarial "business as usual" team (the "Lux Co Sec BAU team") is seeking to recruit an integral member to work with the team, the primary responsibility of which is to support the Luxembourg Real Estate Director in ensuring operational excellence and full compliance in respect of all governance, corporate legal aspects and on-going maintenance services to Luxembourg fund entities, holding/financing companies and special purpose vehicles/operating companies based in global jurisdictions.
The remit covers both BAU activities and, as and when required, participation in complex multi-disciplinary projects.
This is a permanent position which will have a hybrid working pattern - working from home and our office in Luxembourg.
Key Responsibilities- Preparing and organising meeting agendas and Board packs;
- Convening, attending and minuting of Board and shareholder meetings (AGMs, EGMs) where necessary;
- Preparing extracts of minutes where required;
- Handling the communication of decisions and follow up of actions;
- Coordinating the execution of legal documents including the review, signature, verification and maintenance of proper legal records and files;
- Managing day-to-day matters falling within the remit of the Lux Co Sec BAU team including:
Registre du commerce, apostille, notaries, authorised signature lists, KYC / UBO requests, and supporting documentation; - Maintaining the legal database;
- Contributing to and assistance with the preparation of the Corporate Calendar covering all activities;
- Supervising service providers in respect of their administrative and corporate duties to non-Luxembourg entities;
- Promoting compliance and good corporate governance, keeping Boards abreast of all new laws and regulations that may have implications on a given entity;
- Understanding and demonstrating positive behaviours in line with our attributes and expectations;
- Understanding the Company's Sustainability vision and apply the Sustainability Strategy as appropriate for your role;
- Understanding the Health & Safety (H&S) responsibilities appropriate for your role and ensure that they are undertaken in accordance with the relevant Company policies, procedures and guidelines. This includes responsibilities relating to your own H&S and others affected by your actions. Any concerns relating to H&S risks must be escalated to your line Manager and the Company's H&S Manager.
- Preferably a degree in law and/or a recognised advanced Company Secretarial diploma;
- Proven corporate legal/company secretarial track record and practical knowledge of the Luxembourg corporate and legal environment;
- Detail orientated; consistent delivery with quality, accuracy and within tight deadlines;
- An organiser, flexible and capable of prioritising tasks and proactively managing and progressing multiple work items concurrently;
- Independent, proactive and comfortable working both individually and within a team;
- Diplomatic, but assertive with the ability to act with discretion;
- Maturity and credibility to liaise with individuals at all levels;
- Proficient in Microsoft Office (Outlook, Word, Excel and PowerPoint);
- Excellent written and verbal communication skills;
- Fluency in English (spoken and written) is a must with French/German skills a plus.
