Our client is a dynamic venture capital firm focused on digital banking. They are currently undertaking a strategic initiative to consolidate several high-potential portfolio companies into a single, publicly traded entity. The role is to serve as Chief Financial Officer (CFO) during the transition and become the CFO of the resulting public company.
Position Summary:
The CFO will play a pivotal role in the financial management and strategic direction of the portfolio companies. This is a unique opportunity to lead a transformative project and build a high-growth public company. The ideal candidate will possess a strong background in venture capital or private equity led private companies as well as public company financial management, and have a proven track record of successfully executing large-scale projects.
This is a fully remote position.
Responsibilities:
- Oversee the financial operations of six distinct portfolio companies, ensuring accuracy, efficiency, and compliance.
- Develop and implement financial strategies to optimize performance and drive growth across the portfolio.
- Provide financial analysis, reporting, and guidance to portfolio company management teams.
- Manage due diligence processes for potential acquisitions and mergers within the portfolio.
Merger & Acquisition (M&A) and Public Listing:
- Lead the financial aspects of the consolidation of the six portfolio companies into a public shell company.
- Manage the financial due diligence, integration, and reporting processes associated with the M&A transaction.
- Oversee the preparation and filing of all necessary financial documents for the public listing.
- Work closely with legal counsel, investment bankers, and other advisors to ensure a successful public offering.
Public Company CFO Responsibilities:
- Assume the role of CFO for the newly formed public company, establishing and maintaining robust financial controls and reporting systems.
- Ensure compliance with all SEC regulations and reporting requirements.
- Develop and manage the company's financial planning, budgeting, and forecasting processes.
- Build and lead a high-performing finance team.
- Manage investor relations and communicate financial performance to stakeholders.
Project Management & Implementation:
- Lead and manage large-scale financial projects and implementations, ensuring timely and successful completion.
- Develop and implement financial policies, procedures, and systems to support the company's growth and operational needs.
- Manage and optimize financial systems and technologies.
Qualifications:
- Minimum of 10+ years of progressive financial leadership experience, with a significant portion in a CFO role.
- Proven experience working as a CFO within a venture capital or private equity fund environment.
- Demonstrated experience as a CFO of a publicly traded company, with a strong understanding of SEC reporting requirements.
- CPA certification is highly preferred.
- Public accounting background is highly desired.
- Industry experience in financial services, capital markets, or banking is preferred but not required.
- Strong understanding of financial modeling, analysis, and reporting.
- Excellent communication, interpersonal, and leadership skills.
- Proven ability to manage complex projects and meet deadlines.
- Must be able to work fully remote.
- Experience with large scale implementation.
