Position: Relationship Manager II - Mergers & Acquisitions (M&A)

As a Relationship Manager II within PNC's Mergers & Acquisitions organization, you will be based remotely within PNC's footprint.

The Relationship Manager II (RM II) leads complex merger and acquisition transactions from engagement through closing, serving as the primary point of contact for clients, legal counsel, advisors, and internal stakeholders. This role combines relationship management, transaction execution, agreement review and negotiation, and strategic oversight to ensure the successful delivery of escrow, paying agent, exchange agent, and solicitation transactions. RM IIs provide subject matter expertise on transaction structures, payment mechanics, security holder communications, funding requirements, tax considerations, and closing activities while coordinating cross-functional teams to meet critical transaction milestones.

The role requires managing multiple concurrent transactions in a fast-paced, deadline-driven environment, often involving direct interaction with M&A counsel and work outside standard business hours. RM IIs also mentor junior team members and help drive operational excellence and a seamless client experience.

Key Responsibilities

- Lead M&A transactions from onboarding through closing and post-closing activities.

- Serve as the primary relationship manager for clients, legal counsel, advisors, and internal stakeholders.

- Review and negotiate transaction agreements and related legal documents in partnership with Legal and Product teams.

- Provide guidance on transaction structures, payment mechanics, funding requirements, tax considerations, and security holder communications.

- Coordinate key transaction activities, including KYC, account opening, escrow administration, funding, payment processing, solicitation setup, and closing execution.

- Review payment and security holder data to ensure accuracy, compliance, and operational readiness.

- Facilitate client meetings, transaction planning discussions, and issue resolution to ensure successful execution of critical milestones.

- Manage multiple complex transactions simultaneously in a fast-paced environment while maintaining high service standards.

- Mentor and support junior Relationship Managers and Associate Relationship Managers through coaching, training, and deal guidance.

- Partner with cross-functional teams to deliver accurate, timely, and seamless transaction outcomes.

This position may be eligible for remote work in select geographic locations, subject to approval by PNC. If approved, work must be conducted from a quiet, secure, and confidential home-based workspace. Occasional in-office participation may be required based on business needs.
