Senior Counsel, Technology and Managed Services

Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.
The opportunityAs Senior Counsel for Technology and Managed Services, you will be responsible for providing a broad range of advice, counsel, and legal support in respect of EY’s provision of managed services and other technology services and products to EY clients. You will focus on advising, drafting, updating and negotiating the legal terms and conditions of client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licences and SaaS agreements, artificial intelligence, big data, analytics, cloud computing, and related agreements.
You will be part of EY’s Technology and Managed Services legal group, work closely with other GCO groups in the United States and other jurisdictions, manage contract reviews and negotiations independently or supporting senior members, and provide leadership on other legal matters.
Key Responsibilities- Drafting, updating and negotiating client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and keeping up to date with relevant legal developments
- Advising on key legal risks associated with the technology underpinning Managed Services Agreements
- Collaborating closely with other members of the US GCO and local counsel in other EY member firms
- Coordinating legal resources on managed services projects
- Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary for Technology & Managed Services Agreements
- Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests
- Understanding EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services and products
- Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative and accountable to team leadership and other members of GCO
- Building relationships and teaming seamlessly with other members of GCO and Legal Practice Groups to deliver exceptional service to clients of GCO
- Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business, where requested or appropriate
- 6+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements
- Experience negotiating across from client’s internal counsel, outside law firms, and procurement
- Experience developing contracting templates, playbooks, and standards
- Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements
- Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements, and cross‑border data transfer)
- Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain the related legal and business risks in a practical manner
- Excellent communication, negotiation and interpersonal skills
- High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility and ability to adapt to changing circumstances and dynamics
- Ability to work independently and team effectively with colleagues in other functions and geographic locations
- Ability to grasp and accurately articulate complex legal and contractual principles, balancing risk from both legal and commercial perspectives
