Overview

This role is the Legal Partner, R&D Transactions. The position provides legal support and services related to R&D transactions across the Research, Technology and Manufacturing (T&M), Development, Medical Affairs, and Rx+ functions, and may support other functions as required.

Responsibilities
  • Provide practical, timely, proactive, strategic, high-quality legal services for R&D transactional matters, considering global objectives and varying legal and regulatory requirements to minimize risk.
  • Offer legal and strategic support for a broad range of R&D transactions for Research, including drafting, negotiating, and consummating complex agreements such as research collaborations, consortiums, sponsored research, material transfers, research licenses, HTS library exchange, consulting and research services, CRO services, advisory boards, data sharing and data licensing, investigator-initiated studies, regulatory and quality agreements.
  • Provide similar legal support for T&M transactions (e.g., supply agreements, manufacturing contracts, collaborations, service agreements) including guidance to business clients on contract drafting/negotiations and strategic initiatives within the T&M function.
  • Support Development transactions, including clinical trials, assay development, companion diagnostics, expanded access, compassionate use, patient recruitment, informed consents, non-interventional studies, sponsor ships and grants, advisory boards, data sharing and data licensing, investigator-initiated trials, and related regulatory, quality, and pharmacovigilance agreements.
  • Support Medical Affairs transactions, including investigator-sponsored research agreements, Astellas-sponsored study agreements, collaborative research, and CRADAs.
  • Support Rx+ and medical devices transactions, including consulting, confidentiality, service, master services, development, and clinical trial agreements.
  • Provide updates to management on changes in legal developments affecting the pharmaceutical industry, especially in R&D, and coordinate with leaders in the Legal Functional Unit and GC & CECO Division as appropriate.
  • Contribute to contract enhancement initiatives by suggesting, preparing, and reviewing new contract templates, checklists, and guidance.
  • Coordinate with the Legal Transactions Tower and other members of the Legal Functional Unit; retain, supervise, and direct outside counsel efficiently within the approved global budget.
  • Handle other projects as assigned by the Legal Team Lead, R&D Transactions; travel as needed, including international travel.
Qualifications
  • Required:

    Bachelor of Laws (LL.B.), Juris Doctor (JD), Master of Laws (LL.M.) or equivalent; at least 5–7 years of experience in a law firm or pharmaceutical legal department.
Preferred
  • Prior legal experience handling diverse and complex transactions for a company in the pharmaceutical, medical device, and/or biotechnology industry.
  • Science degree or background/experience in chemistry or biology is an advantage.
  • Understanding of legal issues relating to pharmaceutical, biotechnology, and/or medical device businesses, including licensing, regulatory processes, anti-kickback, fraud & abuse, and anti-bribery/compliance.
  • Bar membership in the state/jurisdiction of practice.

Salary Range

$157,500–$225,000 (final salary could be more or less based on experience).
