The Corporate Paralegal supports the legal department by managing corporate governance matters, entity compliance, contract administration, and regulatory filings. This role requires strong attention to detail, organizational skills, and the ability to work cross-functionally in a fast-paced corporate environment.
Key Responsibilities- Maintain corporate records, minute books, and entity management systems
- Prepare and file formation documents, annual reports, and state registrations
- Support board and committee meetings, including agendas, resolutions, and minutes
- Assist with mergers, acquisitions, and corporate transactions
- Draft, review, and manage contracts, NDAs, and amendments
- Track contract obligations, renewals, and expirations
- Coordinate with outside counsel, registered agents, and internal stakeholders
- Assist with SEC filings and compliance (if applicable)
- Conduct legal research and support special projects
- Other duties as assigned
- Associate or bachelor's degree;
Paralegal certificate preferred - 3+ years of corporate or in-house paralegal experience
- Strong knowledge of corporate governance, entity management, and contracts
- Proficiency in Microsoft Office and contract/entity management systems
- Excellent written and verbal communication skills
- Experience with domestic and international entity compliance
- Familiarity with SEC reporting, M&A transactions, or public company requirements
- Strong organizational and project-management skills
- High level of discretion and ability to handle confidential information
- Ability to prioritize multiple deadlines in a fast-paced environment
