Position: M&A Attorney (5+ Years Experience)

In-Office Expectations

This is a hybrid role. We generally expect team members to be in the office on Tuesdays, Wednesdays, and Thursdays to support collaboration, deal work, and team connection. Mondays and Fridays are intentionally flexible and may be worked remotely, subject to client needs, deal timelines, and occasional exceptions.

Fourscore Business Law is seeking an experienced M&A attorney to join our growing business law firm. This role is ideal for a lawyer who enjoys hands‑on transactional work, values strong client relationships, and knows how to run deals efficiently while maintaining a high standard of legal judgment.

We work primarily with closely held and founder‑led businesses and handle a mix of buy‑side and sell‑side transactions across a range of industries. In addition, we serve as outside general counsel to many business owners, which creates meaningful opportunities to integrate corporate work with estate and succession planning.

Core Values

At Fourscore, our core values are not slogans — they shape how we practice law:

  • Service Is Our Heart – We genuinely care about our clients and their businesses. We respond intentionally, think practically, and go the extra mile when it matters.
  • Just Say It – We value direct, honest communication. We say what needs to be said (to clients and to each other) clearly and respectfully.
  • Own It – We take responsibility for our work, our deadlines, and our results. No excuses. No finger‑pointing.
  • Don’t Be a Suit – We take our clients more seriously than ourselves. We aim to be approachable, practical, and real.

We are looking for an attorney who not only has strong transactional experience, but who genuinely aligns with this way of practicing law.

Key Responsibilities
  • Lead and manage sell‑side and buy‑side M&A transactions from LOI through closing
  • Draft, review, and negotiate transaction documents, including asset and stock purchase agreements, disclosure schedules, and ancillary agreements
  • Coordinate with opposing counsel, lenders, accountants, investment bankers, and internal team members to move transactions forward efficiently
  • Advise business owners on deal structure, risk allocation, and post‑closing considerations
  • Provide ongoing general corporate counsel to closely held businesses
  • Collaborate with our estate planning team on succession planning and business‑owner‑focused estate planning matters
  • Mentor junior attorneys and paralegals as the firm continues to grow
Required Qualifications
  • JD from an accredited law school
  • Active license in at least one U.S. jurisdiction (North Carolina preferred)
  • 5+ years of meaningful M&A experience, including primary responsibility for transactions
  • Experience handling both buy‑side and sell‑side deals
  • Strong drafting, negotiation, and project management skills

Ability to manage multiple matters and deadlines with minimal oversight
  • Excellent communication skills and comfort working directly with business‑owner clients
Preferred Qualifications
  • Experience representing closely held or founder‑led businesses
  • Exposure to or strong interest in estate planning and business succession planning
  • Familiarity with SBA‑financed transactions
  • Background in serving as outside general counsel
  • Desire to help build systems, mentor team members, and grow with the firm
Work Structure & Flexibility
  • Core in‑office collaboration days:
    Tuesday, Wednesday, Thursday
  • Flexibility on Mondays and Fridays, including remote work, adjusted hours, or focused deep‑work time
  • Understanding that transactional work sometimes requires schedule adaptability around closings and client demands
What We Offer
  • High‑quality, sophisticated transactional work without big‑law bureaucracy
  • Direct client relationships and meaningful responsibility
  • Competitive compensation, with flexibility based on experience and fit
  • Opportunity to grow into a senior role as the firm continues to expand

If you are an experienced transactional attorney who enjoys running deals, working closely with business owners, and contributing to a growing firm, we would love to hear from you.

Interested candidates can send your resume and any supporting materials to Helen Lavigne (), Operations Manager at Fourscore Business Law for consideration.
