Overview:

We are seeking a motivated and experienced Senior Corporate Associate Attorney to join our esteemed corporate practice in Roseland, NJ. This hybrid role offers a blend of in-office collaboration and flexible remote work. The ideal candidate will have a strong background in M&A transactions and corporate governance, along with a passion for providing strategic legal counsel to clients.

Key Responsibilities:

Legal Advisory: Offer expert legal advice on a wide range of corporate and commercial matters, including business formations, governance, compliance, and contracts.
Transaction Management: Guide clients throughout the M&A lifecycle, from initial due diligence to post-closing integration, ensuring compliance with all legal requirements.
Drafting and Negotiation: Prepare, review, and negotiate M&A-related agreements, including purchase agreements, shareholder agreements, and merger agreements.
Document Oversight: Manage transaction documents and maintain organized records of all legal correspondence and agreements.
Client Engagement: Collaborate with clients to understand their strategic goals and provide tailored legal solutions that align with their business objectives.

Collaboration:

Work closely with internal teams and partners to deliver comprehensive legal services, fostering a cooperative and dynamic work environment.

Qualifications:

Education: Juris Doctor (JD) from an accredited law school.
Bar Admission: Must be admitted to the New Jersey Bar;
New York Bar admission is a plus.
Experience: Minimum of 5+ years of relevant corporate, commercial law, and M&A experience, ideally gained at a reputable Big Law firm.
