M&A Attorney – Global Transactions & Divisional Counsel (Remote / Full-Time In-House Counsel)
Latitude is partnering with a global, diversified conglomerate to identify an accomplished M&A Attorney to join its dynamic in-house legal team on a long-term contract basis. This is an exceptional opportunity for a seasoned transactional attorney to work closely with senior legal leadership while serving as the primary day‑to‑day legal contact for divisions of the multinational enterprise. Reporting to the Division General Counsel/Head of M&A, you will play an integral role in complex domestic and cross‑border M&A transactions, corporate reorganizations, and divestitures.
At the same time, you will work directly with business leaders as their trusted legal advisor—handling sophisticated commercial matters and providing practical, solutions‑oriented guidance in a fast‑paced global environment. Successful candidates must have the capacity to step in and hit the ground running, work effectively both collaboratively and independently, be detail‑oriented, proactively drive transactions as needed, and have strong writing skills to communicate efficiently among team members.
This is a fully remote contract position (preference for CST or EST), with the potential to convert to a permanent position.
- Draft and negotiate primary transaction documents and ancillary agreements for complex national and international M&A transactions
- Work closely with the Division GC/Head of M&A on structuring and executing acquisitions, divestitures, joint ventures, and corporate restructurings
- Serve as the primary legal point of contact for two divisions, advising business teams on corporate and commercial matters
- Provide guidance on regulatory and compliance considerations, including antitrust (HSR), foreign direct investment (FDI), and other cross‑border regulatory issues
- Draft and negotiate strategic commercial agreements, including manufacturing, supply, distribution, SaaS, and other operational contracts
- Collaborate with cross‑functional and multicultural teams to drive transactions forward efficiently and effectively
- Identify legal risks and deliver practical, business‑focused solutions under tight timelines
- 12+ years of sophisticated M&A and corporate transactional experience
- Experience at a top‑tier U.S. law firm or leading M&A boutique firm, along with meaningful in‑house experience (preferably within a multinational organization)
- Demonstrated experience working on complex domestic and cross‑border transactions
- Strong background advising on regulatory and compliance considerations related to domestic and international transactions
- Significant drafting and negotiation experience across a broad range of M&A and strategic commercial agreements
- Ability to operate independently while collaborating closely with senior legal leadership and business stakeholders
- Excellent analytical, written, verbal, and interpersonal skills
- Strong academic credentials from an ABA‑accredited law school
- Licensed and in good standing in state of residence (or eligible for in‑house exemption)

- Pay:
The annualized pay for this position ranges from $180,000 to $200,000 when calculated on a full‑time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference. - Benefits:
