Corporate/Finance Associate Attorney
. The ideal candidate must have excellent writing and research abilities and be passionate about helping individuals and businesses. This position is corporate transactional work with a real estate finance component.
The position can be a hybrid work schedule with open office locations in Leesburg or Vienna, VA, but consolidating to Ashburn VA next year.

Required Qualifications- Members of Maryland, District of Columbia, Delaware, or Virginia bar preferred.
- Minimum of two (2) years of Corporate Transactional experience.
- Banking Loan experience a plus.
- Juris Doctor (J.D.) from an accredited law school.
- The ideal candidate should have excellent legal writing skills and strong attention to detail.
- Ability to manage multiple transactions simultaneously under tight deadlines.
- Handle corporate and transactional matters, including mergers and acquisitions, entity formations, contract drafting and negotiation, and corporate governance – LLCs, corporations, partnerships.
- Manage entity formations, qualifications, and maintenance matters.
- Draft and review corporate documents, including operating agreements, bylaws, stockholder agreements, and board resolutions.
- Provide practical legal guidance to clients on corporate compliance and governance matters.
- Asset and stock purchase agreements (M&A transactions).
- Entity structuring and restructuring – mergers, conversions, and dissolutions.
- Prior experience as a Title Attorney or Lenders Counsel.
- Commercial loan transactions – loan document review, lender requirements, and title insurance commitments.
- Deed of trust and mortgage transactions – preparation and review.
- Drafting, reviewing, and negotiating purchase agreements, leases, and closing documents.
- Conducting and clearing title searches, resolving title defects, liens, and encumbrances.
- Handling residential and commercial real estate closings end‑to‑end.
- Drafting and negotiating commercial contracts, service agreements, and vendor agreements.
- LOI, NDA, SNDAs drafting and negotiating.
- Joint venture agreements and partnership structures.
- Loan agreements, promissory notes, and guaranty agreements.
- Assignment and assumption agreements & buy-sell agreements.
- Construction loan documentation and draw processes.
- UCC filings & lien searches.
- Reviewing and negotiating commitment letters and term sheets.
