Position Title:
Hybrid or Remote Corporate Paralegal
Salary Range: $80,000-$130,000 / Year, DOE
Step into a high-impact Corporate Paralegal role with a nationally recognized Am Law 100 firm in one of the country's leading markets for business and innovation. You'll support a sophisticated corporate practice across emerging companies, venture capital, and M&A matters, partnering closely with attorneys and clients to manage transactions from due diligence through closing. The ideal candidate is an experienced private-company corporate paralegal who understands venture capital and M&A transactions, thrives in a high-volume environment, and can independently drive the details that keep deals moving forward.
The client is open to someone fully remote outside Seattle, WA who can come in approximately quarterly, particularly for a candidate with strong Carta experience
- Support corporate attorneys handling emerging companies, venture capital, mergers and acquisitions, and related business transactions
- Draft, organize, proofread, and assemble closing documents, corporate approvals, financing documents, and transactional materials
- Coordinate due diligence, including preparing checklists, tracking incoming documentation, and assisting with disclosure schedules
- Prepare and maintain closing checklists, track outstanding deliverables, and manage post-closing follow-up
- Communicate directly with clients and attorneys to coordinate documents, information, and transaction requirements
- Prepare applications and supporting documentation for state and federal regulators
- Manage multiple transactions independently while maintaining accurate timekeeping, billing, and productivity records
- 3+ years of corporate paralegal experience with a strong private-company background
- Significant experience supporting venture capital financings and mergers and acquisitions
- Strong understanding of corporate law, business transactions, corporate approvals, and transaction closings
- Experience with Carta or Pulley highly preferred, or demonstrated knowledge of cap tables and equity management
- Proven ability to work independently and effectively support multiple attorneys in a demanding practice
- Exceptional attention to detail with the ability to stay organized and composed under pressure
- Bachelor's degree and/or paralegal certificate preferred
- Hybrid schedule with three days per week in the Seattle office
