Commercial Counsel Opportunity

Our client, a San Francisco-based fintech company, is seeking a commercial counsel to provide immediate part-time support to its vendor and procurement contracting function on a fully remote contract basis. This is a hands-on, queue-driven role focused on reviewing and negotiating inbound vendor agreements, identifying legal and commercial risk, and helping move contracts efficiently through execution.

The ideal candidate will bring meaningful commercial contracting experience involving technology and SaaS vendors, including experience negotiating data processing agreements and related privacy and security terms. The attorney should be comfortable independently managing a contract queue, applying established contracting positions and playbooks, and partnering with legal and business stakeholders in a fully remote environment.

Key Responsibilities

• Review, draft, and negotiate vendor and procurement agreements, including master service agreements, SaaS agreements, statements of work, order forms, and renewals against established contracting positions and playbooks.
• Review and negotiate data processing agreements and related privacy and security provisions, particularly in agreements with technology and SaaS vendors.
• Negotiate AI-related contractual provisions involving use restrictions, data rights, model training, and evolving regulatory considerations.
• Evaluate legal and commercial risks in proposed contractual terms and recommend practical, business-oriented mitigations.
• Independently manage an active contract queue and prioritize competing requests to move agreements toward signature efficiently.
• Partner cross-functionally with procurement, security, privacy, and business stakeholders to resolve contractual issues and facilitate execution.
