The Senior Associate General Counsel, Optum Health M&A Legal, leads the legal function responsible for Optum Health acquisitions and related business development activities.
The role leads a team of attorneys and legal professionals responsible for supporting transaction execution, legal diligence, negotiation, governance approvals, post-close integration support, and strategic business counseling.
The position serves as a critical partner to Business Development, Finance, Operations, and Enterprise Legal leadership in advancing Optum Health's growth strategy.

* from anywhere within the U.S. as you take on some tough challenges. For all hires in the Minneapolis or Washington, D.C. area, you will be required to work in the office a minimum of four days per week.
- Transaction Leadership
- Lead legal support for mid-sized acquisitions and strategic transactions
- Structure and negotiate purchase agreements and ancillary transaction documents
- Advise on transaction risk and mitigation strategies
- Manage outside counsel where appropriate
- Team Leadership
- Lead, develop, and mentor small team of attorneys and legal staff
- Allocate resources across an active transaction pipeline
- Establish scalable workflows and best practices
- Drive continuous improvement and knowledge management
- Governance and Approvals
- Manage transaction approval processes
- Coordinate enterprise stakeholder approvals
- Identify escalation points early
- Strategic Business Partnership
- Advise business development leaders on transaction strategy
- Support enterprise growth initiatives
- Partner with finance and operations teams on transaction execution
- Provide practical, business-oriented legal guidance
- Post-Close Support
- Advise on indemnification matters
- Support earn-out administration
- Manage post-closing disputes and interpretation issues
- Facilitate transition of matters to operational legal teams
- J.D. and active law license
- 10+ years of M&A and transactional legal experience
- Demonstrated ability to manage high-volume deal environments
- Demonstrated solid executive communication skills
- Significant healthcare transaction experience
- Team leadership experience

Pay is based on several factors including but not limited to local labor markets, education, work experience, certifications, etc. In addition to your salary, we offer benefits such as, a comprehensive benefits package, incentive and recognition programs, equity stock purchase and 401k contribution (all benefits are subject to eligibility requirements). The salary for this role will range from $159,300 - $273,200 annually based on full-time employment. We comply with all minimum wage laws as applicable.
