We work nationally across 14 jurisdictions and regularly partner with sophisticated borrower’s counsel, lender’s counsel, financial institutions, and real estate clients on complex transactions.
We are also a fully distributed firm. Remote work is not a hybrid arrangement or an exception for certain attorneys. Our attorneys and staff work remotely across the country, and our systems, workflows, and technology have been built specifically around operating this way.
WHY THIS ROLE IS DIFFERENTThis position is designed for an experienced commercial real estate attorney who wants to continue working on sophisticated transactions while developing a highly specialized practice.
Instead of managing every component of a transaction, you will focus on one defined area: legal opinions.
- No billable-hour requirement. Your work is evaluated based on quality, accuracy, responsiveness, and execution, not hours recorded.
- No business development requirement. Focus on practicing law rather than building a book of business.
- A highly focused practice. Develop deep expertise in legal opinion work rather than continually shifting among unrelated transactional responsibilities.
- Sophisticated transactions. Work on complex commercial real estate finance matters alongside leading law firms, including many Am Law 100 firms, and some of the most experienced real estate finance attorneys in the industry.
- A true remote environment. The entire firm operates on a distributed basis. You will not be the remote attorney working around an otherwise office-based team.
- Firm-provided technology and systems. We provide the technology, software, workflows, and infrastructure necessary to perform the work remotely and efficiently.

As a Mid- to Senior-Level Associate Attorney, you will manage the full lifecycle of legal opinions for sophisticated commercial real estate finance transactions, from initial document review and drafting through negotiation and final delivery.
You will analyze organizational structures, operating agreements, loan documents, organizational documents, and related deal materials to determine the factual and legal basis for the opinions being rendered.
Depending on the transaction, opinion work may include enforce ability, entity status, due authorization, bankruptcy authority, non-consolidation, and related commercial real estate finance opinions.
You will work directly with deal counsel and clients, identify outstanding requirements, resolve comments, and move opinion work toward completion in accordance with transaction closing timelines.
KEY RESPONSIBILITIES- Review and analyze complex commercial real estate loan and organizational documents.
- Draft, revise, and finalize legal opinions for sophisticated real estate finance transactions.
- Manage opinion matters from initial engagement through final delivery.
- Communicate directly with borrower’s counsel, lender’s counsel, clients, and other transaction participants.
- Identify missing documentation, factual issues, and legal issues affecting the opinion.
