Job Overview
A law firm seeks an Employee Benefits and Executive Compensation Attorney in Clayton, MO. The candidate should have at least 8 years of law firm experience, with flexibility in title and hours. Remote work options are available.
Duties- Provide counsel on benefits and compensation issues in mergers, acquisitions, and divestitures.
- Research tax and ERISA issues affecting retirement, welfare, and fringe benefit plans.
- Review statutory and regulatory changes and advise on compliance strategies.
- Assist with due diligence, purchase agreement review, and benefits integration in corporate transactions.
- Draft employment agreements and incentive arrangements.
- Complete IRS and Department of Labor correction program filings.
- Counsel on ESOP transactions and ongoing administration.
- Advise on Code Section 409A compliance.
- Minimum of 8 years of law firm experience in employee benefits and executive compensation.
- Experience in mergers, acquisitions, and divestitures.
Juris Doctor (JD) degree.
CertificationsBar admission in the relevant jurisdiction.
Skills- Strong research and analytical skills.
- Excellent written and verbal communication abilities.
- Proficiency in drafting legal documents.
