Are you a detail-oriented legal professional with a passion for corporate and business law? We're looking for a Business Law Paralegal to support our attorneys in advising companies, entrepreneurs, and business owners through formation, transactions, compliance, and contract matters. If you enjoy drafting agreements, keeping corporate records in order, and managing deadlines, this role is for you. Strong English communication skills and prior U.S. law firm or U.S.
-based legal experience are required.
Entity Formation & Corporate Governance
- Prepare and file formation documents for LLCs, corporations, and partnerships (Articles of Organization/Incorporation, Operating Agreements, Bylaws).
- Draft corporate resolutions, meeting minutes, written consents, and stock or membership certificates.
- Maintain corporate minute books, ownership ledgers, and cap tables.
- Handle annual reports, registered agent matters, foreign qualifications, and good standing certificates across multiple states.
- Draft and review commercial agreements, including NDAs, service agreements, vendor contracts, employment agreements, and leases, for attorney review.
- Assist with mergers, acquisitions, asset purchases, and financing transactions by preparing closing checklists, organizing data rooms, and tracking signatures.
- Conduct due diligence reviews and summarize key findings.
- Manage contract templates and clause libraries.
- Research state and federal business statutes, regulations, and case law.
- Perform UCC, lien, litigation, and entity searches.
- Track regulatory filings, business licenses, and permit renewals.
- Assist with trademark searches and filings as needed.
- Manage case and client files, calendars, and critical deadlines.
- Schedule client meetings, closings, and filing dates.
- File documents with Secretaries of State and other agencies promptly and accurately.
- Maintain organized document management systems.
- Assist with client intake and onboarding of new business clients.
- Follow up on requested documents, signatures, and corporate information.
- Provide clients with regular, professional status updates.
- Mandatory: Experience working in a U.S. law firm or U.S.
-based legal company. - Fluent in both English and Spanish (C1 level or higher in English).
- A Bachelor's degree in Law or current enrollment in Law School.
- At least 1 year of experience as a paralegal in a U.S. law firm or U.S.
-based company, preferably in business, corporate, or transactional law. - Working knowledge of entity formation, corporate governance, and commercial contracts.
- Experience with state Secretary of State filing portals is a strong plus.
- Strong legal research, drafting, and document management skills.
- Proficiency in legal software (e.g., Clio, MyCase, Practice Panther), CRM systems, e-signature platforms (Docu Sign, Adobe Sign), and online communication tools.
- Strong organizational skills and keen attention to detail.
- Availability to work during U.S. business hours.
- Stable, high-speed internet connection (preferably 50 Mbps or higher) with a backup in case of power interruption or service provider issues.
- Noise-cancelling headset/earphones and a webcam at 720p or higher.
- A designated, quiet, well-organized workspace free from distractions.
- Earn up to USD $20 per hour (based on experience and skills) for a full-time commitment of 40 hours per week.
