This mission-driven organization seeks a skilled legal professional to serve in a strategic volunteer leadership role on the Board of Directors.
Position OverviewWe are seeking a qualified and mission-driven Attorney of Law to serve as a volunteer Board Legal Advisor. This leadership role provides legal guidance on governance, regulatory compliance, risk management, and organizational best practices. The Attorney of Law works closely with the Board of Directors and executive leadership to support sound decision-making, safeguard organizational integrity, and ensure compliance with applicable laws and regulations.
This is a non-paid, volunteer board leadership position.

Key ResponsibilitiesLegal Advisory & Compliance
- Provide legal guidance on nonprofit governance, contracts, employment matters, intellectual property, and regulatory compliance.
- Advise on risk management, liability exposure, and legal best practices.
- Review organizational policies, contracts, and agreements as requested.
Governance & Board Support
- Support the Board of Directors and committees with legal insight related to governance decisions.
- Advise on bylaw interpretation, board resolutions, and fiduciary obligations.
- Assist with legal review related to partnerships, grants, funding agreements, and collaborative initiatives.
- Additional duties may be assigned as organizational needs evolve.
Education & Licensure
- Juris Doctor (JD) required.
- Active license to practice law in at least one U.S. jurisdiction required.
- Experience with nonprofit or corporate law preferred.
Experience & Expertise
- Demonstrated experience providing legal counsel to nonprofit organizations, boards of directors, executive leadership teams, or mission-driven entities.
- Strong knowledge of nonprofit governance structures, fiduciary duties (duty of care, loyalty, and obedience), and compliance obligations.
- Experience reviewing and advising on bylaws, governance documents, policies, and board resolutions.
- Experience drafting and reviewing contracts, MOUs, partnership agreements, and vendor agreements.
- Knowledge of legal considerations related to grants, donor restrictions, funding agreements, and regulatory compliance.
- Experience advising on risk management and mitigation strategies.
- Familiarity with employment-related legal matters relevant to nonprofits preferred.
- Ability to communicate complex legal concepts clearly to non-legal stakeholders.
- Commitment to ethical governance and mission-driven leadership.
This is a non-paid, volunteer leadership role. Individuals serving in this capacity are not employees of the organization and do not receive financial compensation or employment benefits. Time commitment expectations and responsibilities will be mutually agreed upon in writing.
