The Director of Contracts provides enterprise leadership for the administration, interpretation, negotiation, and governance of Loyal Source's government and commercial contracts. The Director leads the Contracts Department and oversees the contract lifecycle from solicitation and proposal support through award, performance, modification, renewal, dispute support, and closeout. This role serves as a senior business partner to Executive Leadership, Legal, Finance, Pricing, Growth, Program Management, Compliance, Human Resources, Information Technology, Security, Quality, and other operational functions.

The Director translates complex contractual requirements into practical guidance, identifies and communicates material risk, supports strategic decision-making, and promotes consistent contracting practices across the organization.

Pay:
Starting at $145,000

· Lead the Contracts Department, establish priorities, allocate resources, and maintain accountability for the quality and timeliness of contract-management activities.

· Direct the administration and governance of government and commercial agreements, including prime contracts, subcontracts, task orders, purchase agreements, teaming agreements, nondisclosure agreements, and other contractual instruments.

· Establish and maintain scalable policies, procedures, controls, templates, systems, and approval processes governing the contract lifecycle and delegated authority.

· Maintain accurate, complete, timely, and audit-ready contract files, obligation matrices, deliverables calendars, renewal schedules, and management reporting.

· Evaluate contract-management processes and implement improvements that strengthen compliance, efficiency, visibility, and business performance.

· Provide guidance concerning the Federal Acquisition Regulation (FAR), applicable agency supplements, solicitation requirements, contract clauses, representations and certifications, and other government- contracting requirements.

· Oversee review and administration of solicitations, proposals, awards, task orders, modifications, option exercises, funding actions, deliverables, and closeouts.

· Advise business leaders regarding scope, changes, authorization, funding, performance requirements, data rights, security, privacy, labor requirements, reporting obligations, and termination provisions.

· Identify and escalate potentially out-of-scope work, constructive changes, unauthorized commitments, funding limitations, and other material performance or compliance risks.

· Coordinate requests for equitable adjustment, claims support, cure-notice and show-cause responses, letters of concern, post-award debriefing materials, and other formal contract communications.

· Lead or oversee the drafting, review, negotiation, and administration of complex commercial agreements.

· Evaluate and negotiate terms involving pricing, payment, scope, service levels, warranties, indemnification, insurance, limitations of liability, confidentiality, data protection, intellectual property, audit rights, compliance, disputes, and termination.

· Develop and maintain commercial contracting templates, negotiation guidance, fallback positions, and escalation protocols in coordination with Legal and business leadership.

· Negotiate and approve contractual positions within delegated authority and ensure that commitments outside that authority receive appropriate review and approval.

· Provide clear, timely, and practical advice to senior leaders regarding contractual rights, obligations, risks, and available courses of action.
