Attorney II/Corporate Counsel - Jacksonville, Tallahassee, Orlando, or Tampa, FL!

This Attorney II will play a pivotal role in managing and overseeing the legal and compliance aspects of Halff's contracts and transactions. This position requires a meticulous and detail-oriented professional with prior contract law experience in the professional services field (consulting engineering, land surveying, landscape architecture, and construction services), and the Architecture Engineering and Construction (AEC) industry. The successful candidate will collaborate with cross-functional teams, providing legal guidance and advice in line with Halff's culture and risk tolerance to foster successful business relationships.

What you will do:
  • Draft, review, and analyze a broad range of contracts, including client, vendor, and subcontractor agreements; provide reasoned redline revisions and contract feedback in line with Halff's risk tolerance and applicable compliance or legal requirements.
  • Collaborate with and negotiate contract terms with internal and external stakeholders to meet and balance both legal requirements and business objectives.
  • Identify potential legal risks and provide proactive advice to mitigate such risks, ensuring that contracts align with the firm's risk tolerance policies.
  • Manage and resolve contract disputes, collaborating with internal teams and external parties to find efficient and equitable solutions.
  • Review solicitations (RFQs, RFPs, RSQs) issued by public or private entities seeking to procure professional design services across all States in which Halff has offices or does business; provide legal comments on solicitations and feedback to internal stakeholders.
  • Collaborate with cross-functional teams on a variety of projects, including drafting and negotiating Joint Venture (JV) Agreements and Teaming Agreements for pursuits of work.
  • Provide litigation support and assist with collection of unpaid client invoices and imposition of liens as applicable; work alongside outside litigation counsel as needed.
  • Review Open Records Requests and draft responses seeking to prevent disclosure of the firm's claimed confidential information.
  • Assist the Director of Legal with outside counsel management as needed.
  • Stay current with relevant laws and regulations impacting professional services firms in general and more specifically the engineering consulting industry, providing insights and recommendations to the firm's internal stakeholders.
  • Monitor and enforce compliance with legal and client contractual obligations, ensuring adherence to industry standards and best practices.
  • Maintain accurate and organized records of pending workload as well as all reviewed contracts, amendments, and related legal communications.
What you will need:
  • 5-10 years of legal work experience as an attorney with a minimum of 3 years practicing contract law in the engineering or consulting industry.
  • Experience with public procurement laws preferred, specifically exposure to procurement of engineering or professional consulting services.
  • Demonstrated experience in the AEC industry.
  • Effective communication and interpersonal skills.
  • Exceptional analytical skills to assess legal risks and provide strategic advice.
  • Deep understanding of contract law, particularly pertaining to engineering and consulting services.
  • Meticulous attention to detail in contract review, drafting, and management.
  • Effective and efficient time management skills to handle multiple projects and deadlines simultaneously.
  • Strong interpersonal skills and the ability to build positive relationships with the internal and external stakeholders.
  • Understanding of the regulatory landscape impacting professional services consulting, including engineering, environmental, surveying, right-of-way acquisitions, GIS, and other related services.
  • Strong negotiation and conflict resolution skills to achieve favorable outcomes for the firm.
  • Familiarity with relevant legal software and tools, as well as standard office terminology.
  • Juris Doctor (JD) from an accredited law school.
  • Active law license in Texas and/or Florida, with the ability to work out of one of Halff's Florida offices…
