Description

Job Overview:

As a corporate paralegal, you will play a crucial role in supporting our corporate practice. You will assist attorneys with the preparation and management of complex transactional documents, conduct legal research, and ensure compliance with relevant laws and regulations.

Your role will involve coordinating various aspects of corporate transactions and providing essential support to ensure the success of our clients' business endeavors.

Key Responsibilities:
  • Assist attorneys in the preparation, drafting, and review of transactional documents, including contracts, agreements, and corporate filings.
  • Conduct legal research and gather relevant information to support corporate transactions.
  • Coordinate the execution and delivery of transactional documents.
  • Maintain and organize corporate records, including minute books, stock ledgers, and other corporate documents.
  • Prepare and file documents with state and federal agencies, including in corporations, mergers, and dissolutions.
  • Conduct due diligence for mergers, acquisitions, and other corporate transactions, including reviewing and summarizing contracts and corporate documents.
  • Assist in the preparation and coordination of closings, including preparing closing checklists and binders.
  • Monitor and ensure compliance with corporate governance requirements and regulations.
  • Liaise with clients, opposing counsel, and other parties involved in transactions.
  • Provide administrative support to attorneys, including scheduling meetings, managing calendars, and handling correspondence.
Qualifications:
  • Bachelor's degree.
  • Exceptional organizational skills and attention to detail.
  • Strong interpersonal and communication skills, with the ability to interact effectively with clients, attorneys, and other professionals.
  • Ability to manage multiple priorities and work under pressure in a fast-paced environment.
  • High level of professionalism, integrity, and ethical standards.
Preferred Qualifications:
  • Experience with public and private company transactions.
  • Familiarity with securities filings and compliance.
  • Knowledge of corporate governance best practices.
