Your responsibilities
- Ensure recurrent corporate governance of the Funds and SPVs managed in-house
- Draft and review Board Minutes, PoAs, standard agreements and shareholder resolutions
- Organize and minute regular board meetings of Funds
- Organize and minute regular AIFM meetings of the Portfolio Management Committee, Executive Committee and Valuation Committee
- Organize the “Management Information” flow as requested by CSSF Circular 18/698
- Oversee external corporate secretarial service provider and ensure high-quality deliverables
- Support Investment Operations team with requests from CoSec teams from Fund Administrators
- Coordinate notarial processes and execution of documents
- Maintain RCS and UBO registers and ensure all filings
- Set-up and maintain a register of all proxies given by the AIFM or fund boards
- Support AML/KYC requests where applicable
- Support data maintenance for Funds and SPVs corporate details
- Support AIFM for ad-hoc administrative requests
- Filing in the Luxembourgish commercial register and publications in RESA
What we look for
- At least 3 years of relevant working experience
- Experienced in Corporate Secretary role in a regulated and international business environment
- University degree in law, business administration or related field
- Excellent collaborative and communication skills
- High flexibility and resilience as well as good organizational skills
- Ability to work independently, self-responsible and able to handle multiple priorities
- Business fluent in English and German, French can be an asset
- Professional handling with the current MS-Office software
