Direct Counsel is seeking a Structured Credit & Collateralized Loan Obligations (CLO) Associate Attorney to join the Global Finance practice of a premier Am Law firm. This is an outstanding opportunity to join a nationally recognized structured credit team representing leading asset managers, equity investors, investment banks, and commercial banks in sophisticated CLO and structured finance transactions.
The ideal candidate will have 3+ years of experience in securitization, structured finance, or other transactional finance matters, or possess strong transactional experience with a demonstrated interest in building a practice focused on collateralized loan obligations and structured credit.
Responsibilities- Represent asset managers, equity investors, investment banks, commercial banks, and other financial institutions in collateralized loan obligation (CLO) and structured credit transactions.
- Assist with the structuring, negotiation, and execution of complex securitization and structured finance transactions.
- Draft, review, and negotiate transaction documents, financing agreements, and related structured finance documentation.
- Advise clients on innovative financing structures involving CLOs, private credit, and other structured finance products.
- Serve as a key member of transaction teams, managing significant aspects of transactions from due diligence through closing.
- Collaborate with attorneys across the Global Finance practice to develop practical, business-focused solutions for sophisticated financing matters.
- J.D. from an accredited law school with excellent academic credentials.
- 3+ years of experience in securitization, structured finance, or other transactional finance matters at a law firm.
- Experience with private credit, collateralized loan obligations (CLOs), fund finance, NAV-based facilities, or subscription line credit facilities is preferred.
- Strong drafting, negotiation, analytical, and communication skills.
- Ability to manage multiple sophisticated transactions in a collaborative, fast-paced environment.
- Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.
- Salary:
