Senior Attorney, Technology Transactions, Sourcing, and Procurement

Senior Attorney

Our client is looking for a senior attorney to join their technology transactions, sourcing, and procurement team in PA, NJ, or NY. This role will partner with clients as outside counsel to support drafting and negotiating subscriptions contracts for software services, cloud services, professional services, data privacy, and confidentiality terms and conditions in support of customers or partner SaaS offerings.

Core requirements for the position include:

• Experience handling software-based contracts, preferably with experience in the healthcare field
• Ability to work on multiple contracts at once and effective communication skills
• Strong negotiation and advocacy skills
• 3 years of relevant experience advising, drafting, and negotiating software licensing and technology agreements (e.g., software licensing, SAAS, cloud hosting, data usage, copyright, etc.), other tech transactions (e.g., equipment and support agreements, implementation contracts, and IT consulting), information security issues, and complex commercial agreements
• Experience with legal risk mitigation, regulatory compliance, policy support, and/or related issues
• Juris Doctor (J.D.) required

Core responsibilities include:

• Focus on contracting, analysis, and negotiations related to technology vendor agreements, software licensing, data hosting, privacy, data security, and intellectual property matters
• Working with both corporate and hospital based teams to draft, review, and negotiate health information technology agreements in a fast-paced and collaborative environment
• Analyzing, advising, drafting, and negotiating software licensing and technology agreements (e.g., software licensing, SAAS, cloud hosting, data usage, etc.), other tech transactions (e.g., equipment and support agreements, implementation contracts, and IT consulting), information security agreements, and complex commercial agreements
